Fincantieri acquires four companies to expand underwater business

Fincantieri has agreed to acquire majority stakes in Next Geosolutions, WSense, Graal Tech and Defcomm as it expands its underwater business.

The acquisitions will create a vertically integrated underwater division covering services, autonomous vehicles, communications and marine technologies. The company said the initial investment will total approximately €600 million.

The transactions build on Fincantieri’s acquisitions of WASS in 2025 and Remazel in 2024. They also form part of the company’s 2026-2030 Business Plan.

Following the acquisitions, Fincantieri will bring together eight companies operating across the underwater value chain. The group will offer integrated solutions covering underwater platforms, marine services, software, telecommunications and autonomous systems.

The acquisitions include:

  • Next Geosolutions, a marine survey, geoscience and offshore construction support company.
  • WSense, a developer of underwater communication systems and Internet of Underwater Things (IoUT) technologies.
  • Graal Tech, a specialist in autonomous underwater vehicles and underwater robotics.
  • Defcomm, a developer of autonomous surface vehicles.

Fincantieri expects the enlarged underwater business to generate more than €1.1 billion in revenue and around €220 million in EBITDA in 2026. The company said this would achieve its 2030 underwater growth targets four years ahead of schedule. The acquisitions are also expected to contribute more than €60 million to group net profit in 2026.

Pierroberto Folgiero, Chief Executive Officer and Managing Director of Fincantieri, said the acquisitions mark a major step in the company’s strategy.

“The acquisitions announced today mark a historic transformation for Fincantieri, creating an international champion in the underwater domain through full integration across the value chain of technologies, capabilities and operational expertise,” said Folgiero. “These acquisitions also allow us to accelerate the execution of our Business Plan while expanding our presence in a fast-growing market.”

Fincantieri said demand for underwater technologies continues to grow. The company pointed to the need to protect critical subsea infrastructure, including communication cables, energy assets and offshore facilities. It also highlighted increasing demand for autonomous systems in both commercial and defense markets.

The acquisitions will be financed through the proceeds of the €500 million capital increase completed in February 2026, together with other group resources. Fincantieri said the transactions will not affect its 2026 net debt-to-EBITDA guidance.
